1.Acceptance of Terms

These Terms & Conditions (“Terms”) govern access to and use of REACH (“REACH”, “the Platform”), a software-as-a-service platform operated by Stratech Ventures Private Limited (“Stratech Ventures”, “we”, “us”) and made available at reach-care.net and through associated applications and dashboards.

By creating an account, accessing, or using REACH, you (“User”, “you”) agree to be bound by these Terms. If you access REACH on behalf of a hospital, clinic, rehabilitation centre, or other healthcare organisation (“Client Organisation”), you represent that you have authority to bind that organisation, and “you” refers to both you individually and the Client Organisation. If you do not agree, you must not access or use REACH.

2.Description of the Platform

REACH is a cloud-based patient acquisition, engagement and outcomes platform for hospitals and rehabilitation networks, delivered across three connected modules: Revenue Cloud (lead capture, AI-assisted qualification and conversion tracking), Retention Cloud (subscription-based continuum care and re-engagement) and Recovery Cloud (adherence tracking and outcome reporting). REACH provides technical and operational tooling only and does not itself deliver clinical care.

3.Eligibility and Account Registration

Access is granted to authorised personnel of a Client Organisation and, where a Client Organisation enables patient-facing features, to individual patients invited into a care journey. You must provide accurate registration information, keep your credentials confidential, and notify us promptly of any unauthorised use of your account.

4.SaaS Usage Terms

Access to REACH is provided on a subscription or licensed basis. Users are granted a limited, non-exclusive, non-transferable right to access and use the Platform in accordance with these Terms and any applicable order form. Users must not reverse engineer, resell, sublicense, scrape, or otherwise misuse the software. We may suspend or terminate access for violations of these Terms.

5.Healthcare and Clinical Disclaimer

REACH does not provide medical diagnoses, medical advice, or treatment recommendations, and does not replace licensed healthcare professionals. REACH is not a medical device unless expressly stated in a signed agreement. All clinical decisions, patient care responsibilities, and regulatory obligations remain solely with the Client Organisation and its clinicians.

6.AI Functionality and Governance Disclaimer

REACH uses AI to support lead scoring, routing, and workflow automation. Every AI action is classified into one of four governance tiers — Assist, Score/Flag, Act, and System — and no AI-generated recommendation reaches a patient without confirmation by an authorised clinician or coordinator at the Client Organisation. AI outputs may contain errors or omissions and must not be relied upon as clinical, diagnostic, or medical conclusions.

7.Patient Data and Client Responsibilities

Client Organisations are responsible for the lawful collection, use, and upload of any patient or personal data into REACH, including obtaining all necessary patient consents and complying with applicable healthcare and data protection laws in their jurisdiction. As between Stratech Ventures and the Client Organisation, Stratech Ventures acts as a data processor for patient data uploaded to the Platform and does not assume data controller responsibilities unless otherwise agreed in writing — see our GDPR Compliance Policy.

8.Payer and Scheme Integration

Where REACH is configured to interface with third-party payers, TPAs, or government scheme systems, Stratech Ventures is not a party to the underlying payer or scheme agreement and is not responsible for eligibility determinations, claims outcomes, or reimbursement decisions made by those third parties.

9.Ownership and Intellectual Property

All rights, title, and interest in REACH, including its software, AI models, documentation, the REACH and reachcare names, trademarks, and branding, remain the exclusive property of Stratech Ventures. No ownership rights are transferred to Users under these Terms. See our Trademark Policy for permitted use of REACH marks.

10.Service Availability

REACH is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted availability, error-free operation, or compatibility with all devices or systems. Scheduled maintenance, updates, or unforeseen outages may occur.

11.Fees and Payment

Where REACH is provided under a paid subscription, fees, billing cycles, and payment terms are set out in the applicable order form or subscription agreement. Late or failed payment may result in suspension of access.

12.Limitation of Liability

To the maximum extent permitted by law, Stratech Ventures shall not be liable for indirect, incidental, special, or consequential damages arising from use of REACH. Total liability shall not exceed the fees paid by the Client Organisation in the twelve (12) months preceding the claim. No liability is assumed for clinical outcomes, admissions decisions, payer determinations, or data inaccuracies arising from information supplied by Users.

13.Indemnification

Users agree to indemnify and hold harmless Stratech Ventures from any claims, losses, or liabilities arising from misuse of REACH, regulatory non-compliance, violation of these Terms, or improper handling of patient data.

14.Governing Law and Jurisdiction

These Terms are governed by the laws of India, unless otherwise specified in a separate written agreement. Courts located in Chennai, Tamil Nadu shall have exclusive jurisdiction.

15.Modifications to Terms

We may modify these Terms from time to time. Continued use of REACH after such updates constitutes acceptance of the revised Terms.

16.Termination

We may suspend or terminate access to REACH for breach of these Terms, legal or regulatory reasons, or at our discretion, with or without notice, where permitted by law.
